These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and SF Talent (“we,” “us,” “our,” or the “Company”), governing your access to and use of the website sftalent.com (the “Site”) and any services, content, features, or functionality offered through the Site (collectively, the “Services”). SF Talent is a recruiting firm organized and operating under the laws of the Commonwealth of Virginia, United States.

BY ACCESSING OR USING THE SITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL USE OF THE SITE.

1. Acceptance of Terms

By accessing, browsing, or using the Site in any manner, you agree to be bound by these Terms, our Privacy Policy (incorporated herein by reference), and all applicable laws and regulations. These Terms apply to all visitors, users, candidates, clients, and any other individuals who access or use the Site. We reserve the right to modify these Terms at any time, and such modifications shall be effective immediately upon posting on the Site. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of those changes. It is your responsibility to review these Terms periodically.

2. Eligibility

You must be at least 18 years of age to use the Site. By using the Site, you represent and warrant that you are at least 18 years of age, that you have the legal capacity to enter into a binding agreement, and that your use of the Site does not violate any applicable law or regulation. If you are using the Site on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Description of Services

SF Talent provides Salesforce-focused recruiting and staffing services, including contingency search, retained search, contract staffing, and advisory services. The Site provides informational content about our services, industry insights, career resources, and mechanisms to contact us or submit applications. The Site does not guarantee employment, placement, or any particular outcome. All recruiting engagements are subject to separate written agreements between SF Talent and the applicable client or candidate.

4. Intellectual Property Rights

4.1 Ownership

All content, materials, features, and functionality on the Site — including but not limited to text, articles, blog posts, graphics, images, logos, trademarks, service marks, trade names, icons, page layout, design, software, code, and compilations thereof (collectively, “Site Content”) — are the exclusive property of SF Talent or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property and proprietary rights laws.

The SF Talent name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of SF Talent. You may not use such marks without the prior written permission of SF Talent. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

4.2 Restrictions on Use

You may not, without the express prior written consent of SF Talent:

  • Copy, reproduce, distribute, publish, display, transmit, or create derivative works from any Site Content
  • Modify, adapt, translate, reverse-engineer, decompile, or disassemble any portion of the Site
  • Use any robot, spider, crawler, scraper, or other automated means to access the Site or extract data
  • Frame, mirror, or otherwise incorporate any part of the Site into any other website or application
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices on the Site
  • Use Site Content for any commercial purpose without a written license agreement

4.3 Limited License

Subject to these Terms, SF Talent grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial use. This license does not include the right to collect or use any Site Content for purposes other than those expressly permitted by these Terms. We reserve the right to revoke this license at any time, for any reason, without notice.

5. User Conduct and Acceptable Use

You agree that you will not use the Site to:

  • Violate any applicable local, state, national, or international law or regulation
  • Transmit or facilitate the transmission of any unsolicited or unauthorized advertising, promotional materials, spam, junk mail, chain letters, or any other form of solicitation
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
  • Submit false, misleading, or fraudulent information through any form on the Site, including but not limited to fabricated resumes, credentials, or employment history
  • Harass, threaten, intimidate, stalk, or abuse any individual, including SF Talent staff, clients, or candidates
  • Upload, transmit, or distribute any viruses, malware, worms, Trojan horses, or other harmful or destructive code
  • Attempt to gain unauthorized access to the Site, its servers, or any systems or networks connected to the Site
  • Interfere with or disrupt the integrity, security, or performance of the Site or any related systems
  • Collect, harvest, or store personal information of other users without their explicit consent
  • Use the Site in any manner that could damage, disable, overburden, or impair the Site or interfere with any other party’s use of the Site

SF Talent reserves the right, in its sole discretion, to terminate or suspend your access to all or part of the Site, without notice, for any conduct that we believe violates these Terms, is harmful to other users of the Site, or is otherwise objectionable.

6. User Submissions

When you submit information through the Site — including but not limited to contact form submissions, career applications, resumes, messages, and any other materials (collectively, “User Submissions”) — you grant SF Talent a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, and process such User Submissions for the purposes of providing our recruiting and staffing services, responding to your inquiries, evaluating your candidacy, and operating our business.

You represent and warrant that: (a) you own or have the necessary rights to submit your User Submissions; (b) your User Submissions do not infringe upon the intellectual property, privacy, or other rights of any third party; and (c) all information in your User Submissions is truthful and accurate to the best of your knowledge.

7. Disclaimer of Warranties

THE SITE AND ALL CONTENT, SERVICES, FEATURES, AND FUNCTIONALITY ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SF TALENT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, SF TALENT DOES NOT WARRANT THAT:

  • THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
  • THE RESULTS OBTAINED FROM THE USE OF THE SITE WILL BE ACCURATE, RELIABLE, OR COMPLETE
  • ANY ERRORS ON THE SITE WILL BE CORRECTED
  • THE SITE OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
  • ANY INFORMATION, CONTENT, OR ADVICE PROVIDED ON THE SITE IS ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE

Any content on the Site, including blog posts, articles, guides, salary data, and market information, is provided for general informational purposes only and does not constitute professional, legal, financial, or employment advice. You should not rely solely on any information on the Site as a basis for making business, hiring, career, or legal decisions.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SF TALENT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • YOUR ACCESS TO, USE OF, OR INABILITY TO ACCESS OR USE THE SITE
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE
  • ANY CONTENT, INFORMATION, OR DATA OBTAINED FROM THE SITE
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
  • ANY ERRORS, INACCURACIES, OR OMISSIONS IN SITE CONTENT, INCLUDING BUT NOT LIMITED TO SALARY DATA, MARKET INFORMATION, OR RECRUITING ADVICE
  • ANY INTERRUPTION, SUSPENSION, OR DISCONTINUATION OF THE SITE OR SERVICES

IN ANY EVENT, THE AGGREGATE LIABILITY OF SF TALENT ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations set forth above shall apply to the fullest extent permitted by applicable law.

9. Indemnification

You agree to indemnify, defend, and hold harmless SF Talent, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or relating to: (a) your use of or access to the Site; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your User Submissions; (e) any misrepresentation made by you; or (f) any dispute between you and any third party arising from your use of the Site. SF Talent reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

10. No Guarantee of Employment or Placement

Nothing on the Site constitutes a guarantee, promise, or assurance of employment, placement, or any particular recruiting outcome. The submission of a resume, application, or inquiry through the Site does not create an employment relationship, client relationship, or contractual obligation between you and SF Talent. All recruiting engagements, placements, and staffing arrangements are subject to separate written agreements and are contingent upon mutual agreement of all parties involved.

11. Third-Party Links and Content

The Site may contain links to third-party websites, resources, or services that are not owned or controlled by SF Talent. We have no control over, and assume no responsibility for, the content, privacy policies, practices, or availability of any third-party websites or resources. The inclusion of any link does not imply endorsement, approval, or affiliation by SF Talent. You access third-party websites entirely at your own risk and subject to the terms and conditions of those third-party sites.

12. Digital Millennium Copyright Act (DMCA) Notice

SF Talent respects the intellectual property rights of others. If you believe that any content on the Site infringes upon your copyright, please provide written notice to our designated copyright agent with the following information:

  • A physical or electronic signature of the copyright owner or authorized representative
  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the material that is claimed to be infringing and its location on the Site
  • Your contact information (address, telephone number, and email address)
  • A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law
  • A statement, under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner

13. Termination and Suspension

SF Talent reserves the right, in its sole discretion, to terminate or suspend your access to the Site, in whole or in part, at any time and for any reason, including without limitation for violation of these Terms, without prior notice or liability. Upon termination, your right to use the Site will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnification obligations, limitation of liability, and governing law provisions.

14. Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to these Terms or the Site shall be governed by, construed, and enforced in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of laws principles. You agree that any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in the Commonwealth of Virginia, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

15. Dispute Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute with SF Talent through good-faith negotiation by sending a written notice describing the dispute to legal@sftalent.com. The parties shall have thirty (30) days from the date of such notice to attempt to resolve the dispute informally. If the dispute is not resolved within that period, either party may pursue any available legal remedy in accordance with Section 14 above.

16. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such finding shall not affect the validity of the remaining provisions, which shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

17. Waiver

The failure of SF Talent to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms shall be effective only if in writing and signed by an authorized representative of SF Talent.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by SF Talent on the Site, constitute the entire agreement between you and SF Talent regarding your use of the Site. These Terms supersede all prior and contemporaneous agreements, proposals, and communications, whether written or oral, between you and SF Talent regarding the Site.

19. Force Majeure

SF Talent shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, power outages, internet or telecommunications failures, cyberattacks, or any other event beyond our control.

20. Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without the prior written consent of SF Talent. SF Talent may assign or transfer these Terms, in whole or in part, without restriction and without notice to you, including in connection with a merger, acquisition, reorganization, or sale of assets.
